Weird Weather!

My wife and I recently enjoyed a rare, and spectacular meteor shower from our small country home in Central Texas. With the near-full moon rising in the east, the shooting stars running north to south, the temperature hovering around 50, and the coyotes hooting in the distance, it was a perfect night for watching one of nature's most enjoyable fireworks displays. Its hard to watch such a show and not be humbled by nature.

Speaking of nature....

Monday was different. It was freezing, literally -- 32 degrees and dropping. Damn cold. The dramatic and sudden change in weather was somewhat surprising, but not too terribly uncommon. You know the saying, "If you don't like Texas weather, wait a minute..." But this weather was different -- there was a bite to the cold that IS uncommon for Texas, and everywhere I went on Monday, people would comment, "Weird weather, huh?" I would simply reply with the obvious, "Yes, it is a bit weird."

Weird indeed.

Later that afternoon, I jumped on a plane and headed to Baltimore for a business trip. As I exited the Baltimore airport to catch my ride to Delaware, I was struck by how warm the temperature was. Baltimore is supposed to be cold in December (and Texas warm), but here it was 70 degrees and humid. As I got into my town car for the one hour ride north I commented to my driver, who is a professional golfer and friend, that it was strangely warm for Baltimore.

"Yea," he replied. "The weather has been very weird lately. Just last week we went from 20 degrees on one day to 70 degrees the next. Everybody went from parkas to golfing in 24 hours. Weird."

Weird indeed.

After a terribly uncomfortable night in my Wilmington hotel (they turn all the AC units off in the hotels during winter, because, you see, it is supposed to be COLD in Delaware in winter), I awake to a rainy, humid day. My client picked me up at the hotel and the first thing he said to me as I jumped into his car for the ride to the office... "Weird weather man. Did you bring an umbrella?" I laughed and told him that "Weird weather" was the mantra of the week, and shared my story with him.

Later that day, as I was facilitating a meeting with a group of government employees, I noticed that their attention was no longer on me. Everybody was looking past me, out the windows. I stopped talking and slowly looked outside, and to my surprise noticed that it was snowing! Huge, beautiful white snowflakes fluttering to the ground! And just yesterday I was uncomfortable because of humidity and heat. This morning it wasn't even cold...now it is snowing?

Weird weather!

What is going on?

In his recently released book, Hot, Flat & Crowded, Thomas Freidman characterizes my two-day experience as "Global Weirding," and attributes these seemingly wild fluctuations to global warming and the attendant changes this warming has had on climate. His argument is compelling, and is confirmed by daily experience. Not just my experience...but yours. Ask yourself how many times you or somebody around you has recently commented that the weather was acting strange? Even though we struggle with the explanation, we all intuitively know that something just isn't right with the weather...its seems to be acting, well, weird.

And this is a fact. Or, perhaps an inconvenient truth... The weather is changing. Or more accurately -- global climate is changing, which is affecting the weather in weird ways. As Freidman notes in his book, "That the climate changes over time is settled science. That the climate is now changing in ways unusual against the backdrop of long-term natural variation is accepted by nearly everybody." Something is different. Whether you choose to believe that humans are the causative agent of climate change, or that this is a natural variation in global temperatures, the fact is that the world is warming up, and Carbon Dioxide levels are rising, which results in a destructive C02-Climate feedback loop.

The combination of the two is weird weather. And it is predicted to become much, much worse over time.

What will be the consequence of this bizarre trend for society? Should we plan on more Katrina-scale events as the world's weather continues to become ever more unpredictable? And if so, what does this suggest for personal responsibility to be prepared?

Weird weather indeed. The question is: Are we prepared for it?

Gasoline Verses Ethanol Verses Hydrogen

Sometimes it can be very confusing when you try to make a decision of what route to take to reduce your dependency on gas and stop paying the outrageous cost of gasoline. There's no question that the dependency on gasoline has to be overcome. The quicker everyone can eliminate their enslavement on gasoline the better the world will be. Of course everyone making money on the high prices of oil will either tell you there is no good alternative or try to get you to switch to a mixture of gas and ethanol.

Either way you can bet their reason for recommending ethanol is greed. They want you to believe that ethanol is a lot cleaner than burning gas and a lot less in price. Recent research and surveys tells a different story. The story goes like this, the cost is going higher and higher for ethanol and it doesn't in fact burn much cleaner than gasoline.

Ethanol as you probably already know is almost exclusively made from corn. The rich and famous are making millions on the new surge in prices of corn and corn by-products. Of course if you were rich and making millions on corn futures would you care if cereals made from corn went from $3.75 a box to $8.00? Not as long as you get rich, right? What about the middle class and low income people, who cares, right?

This is the philosophy of many wealthy persons and that's most likely where this saying came about. "The rich get richer and the poor get poorer." My question is how much is enough? How much does one person need to live a good life? Is it an unexhausting urge to get all the money one could ever have or to be the next billionaire so maybe some day you get your picture on the front page of Time Magazine.

Either source of fuel, gasoline or ethanol is control by the giants in the industry and the wealthy. Now comes along a technology that will bring the gasoline and ethanol industry to their knees. By the way this technology is not new it was first developed in the 1930's but the powers to be buried it quickly. Some even say there were some real cloak and dagger stories of how the oil tycoons prevented the world from getting the knowledge that could destroy the petroleum industry.

It's too late in the game to use strong arm tactics or to buy out the technology because the word is out and it is spreading like wildfire. The technology is of course Hydrogen for fuel. Hydrogen is the most plentiful element on earth. It burns extremely clean in fact there are no harmful emissions. Shouldn't that be enough reason for the government to back and push the research and development of hydrogen as fuel in vehicles? Well that's too late too, there is a grassroots movement that has developed the system and no one or organization is going to be able to stop them. Hydrogen was beginning to be introduced by big business a year or so ago but the logistics were a bit too intense for the proper distribution and the biggest objection was that other companies other than gas and oil magnates would be able to sell hydrogen fuel contained in what is called a cell. Can you imagine the oil companies giving up their monopoly on fuel; they will do everything in their power to never let that happen. But with 80 million drivers in the U.S. and to begin with if only one quarter of them decided to go to hydrogen there isn't much the oil industry could do about it, is there?

Hydrogen is free unless it is captured and stored in a cell or tank. The cell system could possibly be unstable and dangerous. The hydrogen on demand system extracting it from innocent clear water is as safe as it can be; there is no danger of igniting stored fuel, because there is none. It is hydrogen on demand used as the system extracts it and burned immediately to power the vehicle, in fact gas is by far more dangerous than hydrogen on demand.

The obvious reason the oil companies fear this technology is understandable; it will eventually destroy their kingdom, eliminate their control over the world, and wipe out their monumental and immoral profits. What a shame, we should all feel sorry for them, shouldn't we?

The Golden Chariot

The Karnataka Tourism Development Corporation run Golden Chariot is the latest in the fleet of luxury train services in India, and covers the various destinations within Karnataka.

Taking its name from the stone chariot of the Hampi ruins, the Golden Chariot starts its journey from the state capital Bangalore, proceeding to Srirangapatnam, Mysore, Kabini Sanctuary, and Shravanabelagola. From here, it leaves for Belur which is associated with 11th century Hoysala architecture, Halebidu, Hampi, Badami, Aihole, Pattadakal and Shravanabelagola, before culminating in Goa.

The itinerary enables a viewing of palaces, wildlife and beaches. The Golden Chariot promises a golden experience with privacy, comfort and a host of lively attractions all through the seven-night-and-eight-day journey.

The train's interiors have been inspired by the opulence of Mysore and Hoysala architecture, and each of the cabins is equipped with wi-fi, LCD TV, writing desk and a wardrobe. A lounge bar and two restaurants (Nal and Ruchi), a business centre and wellness facilities (a spa and a gym) are also onboard.


Asset Sale vs Stock Sale - Tax Consequences When Buying or Selling a Business

Generally, an asset sale provides the best after-tax outcome to a business buyer and a stock sale results in the best after-tax consequences for the business seller. However, since there are many factors to consider besides tax consequences when buying or selling a business, the tax effect cannot be considered in a vacuum. There will always be an adverse tax effect. Uncle Sam will always get his cut. So, the question becomes which party to the transaction will be responsible for Uncle Sam's cut. Naturally, each party will want the other to pay Uncle Sam. So, there will be negotiations. There will be give and take. To avoid being taken, it is necessary to understand the tax laws and assemble the most knowledgeable team of professionals to guide you through the transaction process.

If the business being sold is structured as a C Corporation, and the transaction is structured as an asset sale, the result will be a double tax on the seller. The seller will be taxed at the corporate level when the assets are sold (consideration is received by the existing corporation in which the seller is the primary shareholder) and again at the individual level when the corporation distributes the proceeds to the shareholders. When a C Corporation is sold as a stock sale there is only level of tax on the seller as the proceeds transfer directly to the individual selling the entity.

If the entity being sold is not a C Corp but a pass through tax entity, there remains a great probability that the negative tax effect will be on the seller if the deal is structured as an asset sale. In an asset sale the IRS requires that the purchase price for the assets purchased be allocated to the individual assets at fair market value (the price at which the ownership of the asset would transfer between a willing buyer and a willing seller, neither acting under compulsion and both having reasonable knowledge of relevant facts). This "step-up" in basis to fair market value at the time of transfer from the historical carrying cost of the seller provides a tax benefit to the buyer in the form of an additional depreciation write-off. Before this depreciation can be determined, the IRS requires that the assets are divided into seven asset classes: (1) cash and cash equivalents (2) actively traded personal property (3) accounts receivable and debt instruments (4) inventory (5) all other assets not previously classified (furniture, fixtures, equipment, land, vehicles, etc) (6) section 197 intangibles (7) goodwill and going concern value. The classification of each asset determines how quickly or slowly the buyer can depreciate the stepped-up asset and offset his/her operating income.

This allocation of purchase price to the different asset classes is critical to the seller because the seller's gain on the assets will be taxed at ordinary income rates or capital gains rates depending upon how they are classified. While buyers will lobby that minimal value be allocated to land (not depreciable), buildings, equipment and goodwill (long depreciable life, slower offset to income) and the majority of the purchase price be allocated to inventory (expensed when sold). Seller's will prefer that the majority of the value be allocated to buildings and equipment (which generally receive capital gains treatment) with minimal amounts allocated to inventory and non-compete agreements which are taxed at ordinary income rates for the seller. The seller will also be taxed at ordinary income rates on any depreciation recapture that must be claimed as a result of the sale. Depreciation recapture is the amount of depreciation expense taken by the seller during ownership of the assets in excess of straight-line depreciation (i.e. accelerated depreciation).

Note: The allocation of the purchase price in an asset sale is only critical to the seller when the entity being sold is a pass-through entity (LLC, LLP, S-Corp, sole proprietorship, partnership) because capital gains rates are preferential to ordinary income rates ONLY at the individual level. There is no preferential tax treatment given to capital gains rates at the corporate level. The negative tax effect on a C Corporation asset sale is due in most instances to the double tax treatment of the sale.

In addition to tax considerations, there are numerous other considerations, including legal, which will factor into the decision of whether a specific deal is best completed as an asset deal or a stock deal. We will address some of these issues in future segments. However, I cannot stress enough the importance of a quality team. One of the team members must be a quality tax professional. The cost of these professionals is typically offset by the benefits they bring to you through their involvement in the transaction. You get what you pay for so don't cheap out when assembling your team!

Enchanted Islands - About Santorini Greece

The first volcano eruption occurred around 1500 BC. It is said this volcano eruption is responsible for the destruction of the great Minoan civilization of Crete. The last eruption occurred in 1956. The volcano remains active today.

Some people believe the destruction of Santorini could be related to the mythical Atlantis.

• The island has a great number of archaeological sites that have proved the first human presence on the island dates back to the Neolithic Period.

• The volcano exploded four times from 197 BC to 726 AC

• The islands came under Byzantine occupation between 1200 AC and 1579 AC, right before the Venetian rule

• Santorini Island was occupied by the Turkish from 1579 to 1821

• Greek Revolution and Independence occurred in 1821

(I would be lying if I told you it would completely pain-free.) But you can gain a good grasp of kanji with a lot less these than you would think.

So let's look at two approaches that can have you gobbling up kanji like there is no tomorrow. In Part 1, I will talk you through mnemonic methods, and then in Part 2 I will focus on methods that can benefit visual learners.

Mnemonic Methods

"Mnemonic" simply means a device, formula or rhyme used to assist memorization. An example of a mnemonic embedded in my mind from childhood is "Never Eat Shredded Wheat". As a rhyme it has nothing to do with navigation or geography, but it helped me learn the points of the compass.

So let's have a look at the mnemonic approaches that can speed-up kanji learning.

James Heisig's Remembering the Kanji Series

Heisig's mnemonic-based approach is not only famous for the claims its practitioners have made of rapid kanji assimilation (1,000 kanji in 29 days, for example), but also for the critical flack it has attracted from traditionalists.

Undoubtedly, the method has flaws: The student being encouraged to associate a single, very narrow and sometimes non-standard meaning with a particular kanji being a major one. However, the fact that Heisig's approach is geared to Westerners also has advantages: Focusing on the meaning before the pronunciation is of more practical value to the adult Western student, since while meaning is the key to understanding, the pronunciation of the kanji is of little value unless reading aloud.

I came to this approach late, having used the good ol' rote memorization and drilling method of most traditional textbooks, so it has not been such a boon to me as it would be to someone starting from scratch. However, while using a computer to write Japanese at work has made my mind lazy when it comes to writing, Heisig's method keeps the shape of the kanji right in front of me when I do pick up pen and paper. And I am hoping to use book 3 to go well beyond the standard 1,945 character kanji set in the future - something I would not even consider attempting without using this technique.

Kenneth Henshall's A Guide to Remembering Japanese Characters

Now, I should first state that, personally, I have not used this method in my own kanji study. However, while looking at ways to accelerate my kanji assimilation ability to joyou level (the 1,945 kanji set taught up to the end of high school in Japan) and beyond, I came across Henshall's method as the other major alternative to traditional repeat-until-you-go-mad methods.

Henshall also employs mnemonics, creating a sentence to plant the image of the kanji deep in the learner's brain. The difference is that where Heisig takes a fast-and-loose approach with the meanings assigned to individual elements of each kanji in reaching his goal of creating a memorable mind-picture, Henshall traces the history of these elements in great scholastic detail.

In my opinion (and the reason I personally chose Heisig over Henshall for my own study), the academic strength of Henshall's analysis is its biggest weakness as a memorization tool: If you have an excellent memory, or if you already know the kanji anyway and are interested in their etymological roots, then Henshall will give you a depth of knowledge that will impress even your native speaker Japanese friends. However, if you do not have an almost-photographic memory, and mastering kanji in a sensible time period is your priority, you will probably find that this detailed and obscure analysis does not provide the compelling memory "hook" that Heisig's method does.

Other Mnemonic Kanji Study Methods

In addition to these two main players you may also want to consider 2001 Kanji by Father Joseph R. De Roo (although its availability is questionable) or Kanji ABC by Forester and Tamura as alternative approaches.

Tour Agency
You are advised to avail services only from registered travel agencies. As everywhere, you would find touts in Phuket too. So establish the credentials of an agency before hiring services.

Drinking Water
Tap water is available in Phuket. However, you better drink bottled water. The reason being most tourists are not accustomed to that kind of water. Avoid purchasing ice.

Business Hours
Shops and stores are open seven days a week while government offices and commercial establishments operate on a five-day week. Most offices, shops and stores are closed on public holidays.

Language
Almost all Thais associate with tourism sector have working knowledge of English. So if you are an English speaking person, it would be fine.

Tourist Police
Tourist police takes care of the security of the tourists in Phuket. The tourist police emergency hotline is 1155.

VAT Refund
Foreign tourists are not required to pay Value Added Tax (VAT) on items more than 5,000 Baht which they wish to take home. However, make sure that the papers are complete before applying.

The Difference Between a Low Cost Power Inverter and the More Expensive Models

Have you ever wondered why some inverters cost much more than others of the same power. I will briefly describe one of the main differences between a low cost power inverter and a high cost item.

Finding a power inverter to convert DC power to AC may seem like it should be a simple task, but when you start shopping for a power inverter for your personal use, you'll soon find that many choices will confront you. With prices ranging from less than $25 to well over a $1000, it can be difficult to know what features are important and how to choose a unit appropriate to your needs.

While wattage you need and how you will be connecting the unit to your power source are items to be taken into consideration, another item that you should take into account is the inverter's wave form output. There are two general types of power inverters: true-sine wave or modified-sine wave (square wave). True-sine wave inverters produce power that is either identical or sometimes slightly better to power from the public utility power grid system. The power wave when viewed through an oscilloscope is a smooth sine wave. Modified-sine wave and square wave inverters are the most common types of power inverters on the market. Modified-sine wave power inverters produce a power wave that is sufficient for most devices. The power wave is not exactly the same as electricity from the power grid. It has a wave form that appears as a choppy squared-off wave when viewed through an oscilloscope. What does that mean to the everyday user? Not much. Most household electrical devices will run perfectly fine on either type of wave form.

Most of our customers who are using a power inverter to run a laptop, a/c cell phone charger, fan, or camera find that a modified-sine wave power inverter that operates through the cigarette lighter socket the easiest to use.

We usually suggest choosing power inverters that are rated under 300 watts when using the 12-volt cigarette lighter socket found in most vehicles. We suggest this because after reaching 300 watts of draw on the inverter, the fuses in your car will begin to blow. There are several units available on the market powered between 100-200 watts that plug directly into the cigarette lighter of a vehicle. It has only one outlet, but since plugging it into a 12 volt socket is all that is required for operation, it can't be beat for ease of use. Square wave units or your low cost power inverters fall into the following three groups:

500w or less For household appliances, TVs (up to 19"), VCR, desktop computers, other mobile office equipment. Most of these connect via a 12-Volt plug.

501-999w For household appliances, large screen TVs, 5-amp power tools, and bread machines. Most such inverters are connected directly to the 12-volt battery and have three or more grounded outlets for powering several products at the same time.

1000-3900w For household appliances, larger power tools, microwave ovens, toasters, and hair dryers. All of theses inverters are designed for direct connection to the battery network and can generally supply 750- 2500 watts of continuous power.

The problem with wave form only comes into play when specialized pieces of equipment need to be powered. Here are a few devices which could have problems when they are connected to an inverter producing a modified-sine wave signal: oxygen concentrators, fax machines, laser printers, high voltage cordless tool chargers, equipment with variable speed motors, electric shavers, and garage door openers. For most all other applications you can go with the low cost power inverter.

In closing, it is really not necessary for the average user to go with the true sine-wave unit. The modified sine-wave found in most low cost power inverters will be sufficient take care of your applications.

These symptoms indicate leakage of head gasket, a cracked head and a cracked engine block and ultimately to the ill health of a car.
